Delays may occur due to high order volumes, traffic conditions, weather events, or other circumstances beyond our control. We are not responsible for delays caused by factors outside our reasonable control.

All content, materials, and information available on or through the Website, including but not limited to text, graphics, photographs, images, logos, trademarks, service marks, trade names, menu designs, audio and video content, data compilations, software, and the overall "look and feel" of the Website (collectively, "Intellectual Property"), are owned by or licensed to Dewey's Pizza and are protected under applicable United States and international intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.), the Lanham Act (15 U.S.C. § 1051 et seq.), and other applicable laws.

DEWEY'S PIZZA EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- WARRANTIES THAT THE WEBSITE WILL BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE;
- WARRANTIES AS TO THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY INFORMATION ON THE WEBSITE;
- WARRANTIES THAT ANY DEFECTS IN THE WEBSITE WILL BE CORRECTED;

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL DEWEY'S PIZZA, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, data, goodwill, or business opportunities;
- Cost of substitute goods or services;
- Physical or property damage arising from your use of or inability to use the Website or Services;
- Unauthorized access to or alteration of your transmissions or data;
- Any other matter relating to the Website or Services;
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF DEWEY'S PIZZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ANY CASE, DEWEY'S PIZZA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE WEBSITE OR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DEWEY'S PIZZA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).
The foregoing limitations apply even if any remedy set forth herein fails of its essential purpose. Some states do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you in full.
9. Indemnification
You agree to defend, indemnify, and hold harmless Dewey's Pizza and its respective owners, officers, directors, employees, agents, contractors, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or relating to:
- Your violation of these Terms or any applicable law or regulation;
- Your use of the Website or Services in a manner not expressly authorized by these Terms;
- Your User Content or any content you submit, post, or transmit through the Website;
- Your violation of any third party's rights, including intellectual property rights, privacy rights, or publicity rights;
- Any misrepresentation made by you in connection with your use of the Website or Services;
- Your negligence, willful misconduct, or fraud;
- Any claim by a third party arising from your use or misuse of the Website or Services.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with us in asserting any available defenses.
10. Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America and the applicable state laws of the state in which Dewey's Pizza is registered and operates, without regard to its conflict of law provisions.
These Terms are subject to applicable federal laws and regulations, including but not limited to:
- The Federal Trade Commission Act (15 U.S.C. § 41 et seq.) governing unfair or deceptive acts and practices in commerce;
- The Computer Fraud and Abuse Act (18 U.S.C. § 1030);
- The CAN-SPAM Act (15 U.S.C. § 7701 et seq.) governing commercial email communications;
- The Children's Online Privacy Protection Act (COPPA), 15 U.S.C. § 6501 et seq.;
- All applicable state consumer protection statutes and food service regulations.
Subject to the dispute resolution provisions in Section 11 below, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Website and Services shall be instituted exclusively in the federal or state courts of competent jurisdiction located in the state where Dewey's Pizza maintains its principal place of business. You hereby irrevocably submit to the personal jurisdiction of such courts and waive any objection to the laying of venue of any such proceeding in such courts.
11. Dispute Resolution and Arbitration
11.1 Informal Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or our Services ("Dispute"), we strongly encourage you to first contact us informally to attempt resolution. Please send a written description of your Dispute to us at [email protected]. We will attempt to resolve the Dispute informally within thirty (30) days of receiving your notice. If we are unable to resolve the Dispute informally within that timeframe, either party may proceed to formal dispute resolution as described below.
11.2 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Except for Disputes that qualify for small claims court and except as otherwise expressly provided in these Terms, you and Dewey's Pizza agree that any Dispute shall be resolved exclusively through final and binding arbitration administered by a recognized arbitration institution, such as the American Arbitration Association (AAA), pursuant to its applicable rules and procedures in effect at the time the arbitration is commenced. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.
The arbitration shall be conducted on an individual basis. Neither you nor Dewey's Pizza shall be entitled to consolidate claims with those of any other person or entity, nor shall any Dispute be arbitrated on a class-action or representative basis.
11.3 Class Action Waiver
YOU AND DEWEY'S PIZZA EACH WAIVE THE RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. YOU AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED IN YOUR INDIVIDUAL CAPACITY ONLY, AND NOT AS A CLASS ACTION OR OTHER REPRESENTATIVE ACTION.
11.4 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or other proprietary rights.

The parties agree to negotiate in good faith to replace any invalid, illegal, or unenforceable provision with a valid provision that achieves, to the greatest extent possible, the original intent and economic effect of the replaced provision.
18. Entire Agreement

Dewey's Pizza shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, fire, flood, earthquakes, war, terrorism, labor disputes, government actions, supply chain disruptions, power outages, internet service disruptions, or other events of force majeure. In such circumstances, our obligations will be suspended for the duration of the force majeure event.

Legal notices sent by email will be deemed received on the day they are sent, provided no delivery failure notification is received. Legal notices sent by mail will be deemed received three (3) business days after dispatch via certified U.S. mail with return receipt requested.
